1. 1. Unsophisticated Investor
   A unsophisticated investor (or “retail client”) is entitled to the highest level of investor protection. The reference legislation on client classification provides, in fact, greater protection for investors with less knowledge and experience in investments. This category is identified on a residual basis with respect to the others: all subjects who do not have the characteristics to be classified as sophisticated or professional investors will be considered unsophisticated investors.
2. 2. Professional Investor
   An investor is considered professional if he or she has the experience, knowledge and expertise necessary to make informed investment decisions and to correctly assess the risks he or she assumes. Identified by Annex II, Section I, points 1, 2, 3 and 4 of the MiFID II Directive, 2014/65/EU, and by Annex no. 3 of CONSOB Regulation on intermediaries no. 16190/2007, this category includes, among other entities, banks, investment firms, insurance companies, institutional investors, collective investment schemes and management companies of such schemes, pension funds and management companies of such funds, governments and large companies and, exceptionally, some categories of individual private investors.
3. 3. Sophisticated investor
   EU Regulation 2020/1503 (“ECSP”) has introduced, with reference to crowdfunding, a new category of investor: the “sophisticated” investor. According to EU Regulation 2020/1503, Article 2, letter j), a sophisticated investor is any natural or legal person who is a professional client pursuant to Annex II, Section 1, point 1, 2, 3, or 4, of Directive 2014/65/EU or any natural or legal person who has the approval of the crowdfunding service provider in accordance with the criteria and according to the procedure set out in Annex II of EU Regulation 2020/1503.
